صيغة ونموذج عقد أحتكار " مغنى ,مطرب , فنان , ممثل , مخرج , مؤلف "

أولاً : السيد / ............................................ والذي يحمل بطاقة رقم .......................... جهة الإصدار ....................، وعنوانه في ...................................... الرمز البريدي .............. جوال رقم ..........................

ثانياً : السيد / ................................. والذي يحمل بطاقة رقم ........................ جهة الإصدار ................، وعنوانه في ............................................ الرمز البريدي ............ جوال رقم ........................

(الطرف الثاني - المنتج فنى )

 

- بعد أن أقر طرفى هذا العقد بأهليتهم القانونية فى إبرام هذا التصرف أتفقا فيما بينهم على الاتى : -

” تمهيد “

يمتلك الطرف الاول موهبة غنائية حازت على الاشادة من الجميع سواء من عموم المستمعين أو المتخصصين فى المجال الغنائى ورغبة منة فى زيادة أنشطتة الفنية فى المجال الغنائى فى المستقبل ونظرآ إلى أحتياج أى مطرب إلى الدعم المادى والفنى حتى يكون على مقدرة من القيام بالاعمال الغنائية وتسويقها من أجل الوصول إلى درجة متقدمة من درجات التنافس فى الساحة الغنائية المزدحمة بالنجوم المتميزين . وفى سبيل الوصول لهذة القدرة التنافسية فى الساحة الغنائية يجب أن يكون لدى المطرب قدرة مالية يستطيع من خلالها الحصول على افضل الكلمات والالحان والتعاقد مع أستوديوهات التسجيل الغنائى المتميزة التى لديها أحدث التقنيات وأساليب تسجيل الالبومات الغنائية . وحيث أن للطرف الثانى هذة القدرات المالية التى سوف تساعد الطرف الاول على المنافسة فى الساحة الغنائية . فقد أتفق كل من الطرفين على أن يقوم الطرف الثاني بالرعاية الفنية والانتاجية من خلال تقديم الدعم المادى الذى يحتاجة الطرف الاول لتوفير كافة مقومات ومكونات النجاج الفنى للأعمال الغنائية التى يقوم بغنائها مقابل تحصل التصرف الثانى على نسبة من الارباح التى سوف تحققها هذة الاعمال الغنائية التى يقدمها الطرف الاول وبذلك يكون هناك أستفادة متبادلة بين طرفى العقد تتحقق بقدرة منافسة الطرف الاول فى الساحة الغنائية من خلال الدعم المادى المقدم من الطرف الثانى مقابل حصول الطرف الثانى على نسبة من الارباح المحققة لهذة الاغانى . وحيث إلتقت إرادة كل من الطرفين فقد اتفقا فيما بينهم على ما يلي :-

” البند الأول “

يعتبر هذا التمهيد السابق جزء لا يتجزأ من هذا العقد.

” البند الثاني “

بموجب هذا العقد يكون الطرف الثانى هو الراعى الفنى الوحيد للاعمال الفنية التى سوف يقوم بغنائها الطرف الاول خلال مدة تنفيذ هذا العقد وذلك مقابل ما سوف يقدمة للطرف الاول من الدعم المادى المحدد ببنود هذا العقد على أن يقوم الطرف الثانى بالحصول على نسبة من الارباح التى تحققها هذة الاعمال الغنائية التى سوف يقوم بغنائها وعرضها على وسائل ومنصات التواصل الاجتماعى المسموعة منها والمرئية وعلى شاشات القنوات الفضائية الارباح التى يتحصل عليها الطرف الاول من خلال الحفلات الغنائية المختلفة .

 

” البند الثالث “

أتفق الطرفان على أن مدة تنفيذ بنود هذا العقد هى ثلاثة سنوات ميلادية تبداء من تاريخ هذا العقد وتنتهى بنهاية المدة المحددة ولا يجوز تجديد هذا العقد الا بموافقة الطرفين وبموجب عقد أتفاق جديد .

” البند الرابع “

يلتزم الطرف الثانى بنأن على هذا العقد بتوفير الدعم المادى المقدر بـ ۳۰۰۰۰۰ ريال سعودى ( ثلاثمائة الف ريال سعودى ) للطرف الاول حتى يستطيع أن يقوم بإنتاج الاعمال الفنية الغنائية بمستوى فنى عالى يستطيع بموجب هذا المستوى العالى المنافسة فى السوق الغنائى وبناء على هذا التنافس سوف يستطيع الطرف الاول الحصول على عائد مرتفع من الارباح من هذة الاعمال الغنائية التى بالتأكيد سوف تعيد بالنفع الزائد على الطرف الثانى من خلال زيادة الارباح التى سوف يحصل عليها بموجب هذا العقد .

بموجب هذا العقد يكون الطرف الثانى ملتزم بتوفير مبلغ ۱۵۰۰۰۰ ريال سعودى ( مائة وخمسون الف ريال سعودى ) للطرف الاول عند التوقيع على هذا العقد على أن يقوم الطرف الثانى بتوفير المبلغ المتبقى والمقدر بـ ۱۵۰۰۰۰ درهم إماراتى ( مائة وخمسون الف ريال سعودى ) بعد سنة من تاريخ تحرير هذا العقد

” البند الخامس “

يلتزم الطرف الاول بتقديم تسعة أغانى وعرضها على وسائل التواصل الاجتماعى المختلفة ويكون هو المسئول عن أختيار الكلمات والالحان والتوزيع الخاصين بهذة الاغانى ويكون هو أيضأ المسئول عن تسويق هذة الاعمال على منصات التواصل الاجماعى المختلفة وعلى كافة الوسائل المسموعة والمرئية .

” البند السادس “

اتفق الطرفان على أن تكون نسبة أرباح الطرف الثانى ۲۵ % من أجمالى الارباح التى تحققها الاعمال الغنائية التى يقوم الطرف الاول بتنفيذها وغنائها سواء هذة الارباح تم تحقيقها من السوشيال ميديال باشكالها المختلفة أو من خلال الشاشات التليفزيونية والقنوات الفضائية أو من خلال الحفلات الغنائية على أن تكون نسبة أرباح الطرف الاول ۷۵ % من أجمالى أرباح هذة العمال الغنائية .

” البند السابع “

اتفقا الطرفان على أن يقوم الطرف الاول بإنشاء حسابات على مواقع (اليوتيوب – السناب شات – تويتر – فيس بوك – إنستجرام) باسم فني وهو (..........................) ويكون الطرف الاول وحده له الحق في إدارة هذه الحسابات أو أي حسابات تنشأ في المستقبل،على أن يكون ملتزم بعرض الاعمال الغنائية المتفق عليها فى بنود هذا العقد على هذة الحسابات ويكون ملتزم بفتح حساب على جوجل أد سنس Google AdSense وغيرها من منصات الاعلانات الاليكترونية لكى يستطيع تحقيق أرباح من تلك الاعلانات التى يتم عرضها أثناء تشغيل هذة الاعمال الغنائية .

” البند الثامن “

تكون ملكية الحسابات الخاصة بمنصات التواصل الاجتماعى والسوشيال ميديا التى قام الطرف الاول بأنشائها من أجل عرض العمال الغنائية المحددة ببنود هذا العقد من خلالها ملكية خاصة للطرف الاول ولا يجوز منازعة أو مطالبة الطرف الثانى بملكية هذة الحسابات بعد أنتهاء مدة هذا العقد

كما تكون ملكية الاعمال الغنائية التى يقوم الطرف الاول بغنائها وتسويقها على منصات التواصل الاجتماعى ملكية خاصة لة أثناء فترة سريان هذا العقد أو بعد أنتهائة ولا يجوز للطرف الثانى منازعة الطرف الاول فى الملكية الفنية لهذة الاغانى .

” البند التاسع “

اتفقا الطرفين على أن يكون الطرف الاول هو المخول له بالتوقيع على أي عقود متعلقة بالألبومات الغنائية أو الكلبات الغنائية أو البرامج الحوارية أو الحملات الإعلانية أو الحفلات التي يقوم بها مع الغير فى أى مكان .

 

” البند العاشر “

في حال إخلال الطرف الثانى بأي بند من بنود العقد أو فسخ العقد فأنه يكون ملزم بسداد مبلغ ۵۰۰۰۰۰ ريال سعودى ( خمسمائة الف ريال سعودى ) للطرف الاول إضافةً إلى جميع المصروفات التي تكبدها.

 

” البند الحادى عشر “

في حال الخلاف لا قدر الله ناتج عن نشوء هذا العقد أو تنفيذه أو تفسيره أو إلغائه أو فسخه أو أي تفرع ينشا منه أو يرتبط به بأي وجه من الوجوه فأنه يتم الفصل فى هذا النزاع عن طريق التحكيم وطبقآ للقانون الاماراتى .

 

” البند الثانى عشر “

يتكون هذا العقد من أثنتا عشر بند وحرر هذا العقد من نسختين بيد الطرف الأول نسخة والطرف الثاني نسخة للعمل بموجبها عند المقتضى.
